Before filing your Articles of Organization, verify your desired LLC name is available on the New York Department of State records. New York requires every entity name to be distinguishable from all other entities on file. The DOS provides a free online search tool.

  2. Enter your desired name (or keywords)
  3. Review results — the system shows entities with similar names
  4. A "clear" search does not guarantee approval — the DOS makes final determination during filing

New York LLC Naming Rules (LLC Law Section 204)

Required designator — one of these must appear:

  • Limited Liability Company
  • LLC
  • L.L.C.

Distinguishability standard:

  • Must be distinguishable from all existing NY entity names (LLCs, corporations, LPs, etc.)
  • Minor variations (punctuation, articles, spacing) typically insufficient
  • Different entity suffix alone is not enough — "ABC LLC" conflicts with "ABC Inc."

Restricted words:

  • "Bank," "trust," "insurance," "surety," "indemnity" — NY Department of Financial Services approval
  • "Doctor," "medical," "dental," "health," "university," "college," "school," "education" — NY Education Department approval
  • Words implying government affiliation — prohibited
  • "Cooperative" or "co-op" — requires meeting cooperative corporation requirements

Prohibited words:

  • Cannot imply the LLC is formed for an unlawful purpose
  • Cannot contain language indicating a purpose beyond what is permitted by law

Can I use "New York" in my LLC name?

What if my name is taken by a dissolved entity?

Dissolved entities remain on DOS records. The name may or may not be available depending on how recently it was dissolved and whether the entity completed its winding-up process. Try filing — the DOS will either accept or reject based on their determination.

Does registering my LLC name protect it as a trademark?

No. LLC name registration gives you the right to use that name as a business entity in New York. It does not provide trademark protection. For trademark rights, file with the USPTO (federal) or the DOS (state trademark registration, separate from LLC filing).
