Registered Agents in New York: Optional by Statute

Most states order every LLC to appoint a registered agent. New York does the opposite. Under LLC Law § 301, the Secretary of State is the agent for service of process for every New York LLC, automatically and for the life of the entity. A registered agent under § 302 is something an LLC "may designate" on top of that. No New York statute requires an LLC to have or hire one. New York paperwork often uses the state's own term for this role, agent for service of process. This page explains how the default works, what an optional agent actually adds, and the three filings involved.

How Service of Process Works by Default

When someone sues your LLC, they can serve the papers on the Secretary of State. The Department of State accepts them and forwards a copy by mail to the service-of-process address in your articles. Two properties of that system are worth staring at:

• The forwarding runs on ordinary mail to whatever address you last put on file. Response clocks run from service on the Secretary of State, not from the day the envelope reaches you.
• The service-of-process address is public record. For a home-based LLC, that is typically the owner's home address, searchable by anyone.

Keeping that address current matters more in New York than almost anywhere, and confirming it is the entire job of the Biennial Statement.

What a Designated Agent Adds

A § 302 registered agent does not replace the Secretary of State; § 301 applies regardless. What designation changes:

• Served papers can go straight to the agent, which for a professional agent means same-day handling instead of waiting on forwarded mail.
• The agent's street address can take the place of a home address on the public service-of-process record.
• A stable agent address does not go stale when you move.

Who Can Serve (§ 302(b))

If you do designate an agent, LLC Law § 302(b) limits the role to:

• a natural person who is a New York resident or has a business address in New York
• a domestic LLC, or a foreign LLC authorized to do business in New York
• a domestic corporation, or a foreign corporation authorized to do business in New York

The designation states the agent's street address. New York has no registered-office concept; the agent's address and the process-forwarding address carry that weight.

Does my New York LLC need a registered agent?

No. The Secretary of State is your LLC's agent for service of process under LLC Law § 301 whether you want it or not, and that satisfies New York law by itself. Designation under § 302 is optional.

Then why designate one?

Speed and privacy. Forwarded mail from the Department of State takes as long as mail takes, while a professional agent handles served papers the day they arrive. A designated agent's address can also keep a home address off the public process-forwarding record.

What if my forwarding address is out of date?

Service on the Secretary of State is still valid, and deadlines run even if the forwarded copy never reaches you. Update the address promptly when you move, or point the record at an address that does not change.

What is the fee to designate or switch an agent?

The LLC files the Certificate of Change, form DOS-1359-f, with a $30 fee. Do not confuse it with the $5 agent-filed address certificate or the $20 agent resignation filing; those cannot change your designation.
