Amending Your New York LLC (Form DOS-1369)
When your LLC's information changes — name, county, service address, or other provisions — file Articles of Amendment with the NY Department of State. The fee is $60. For all compliance requirements, see our post-formation guide.
When You Need to Amend
File DOS-1369 (Articles of Amendment) when:
- Changing your LLC's legal name
- Changing the county of your office (affects publication county for future reference)
- Changing the DOS forwarding address for service of process
- Adding or changing a designated agent for service of process
- Modifying any other provision in your Articles of Organization
You do NOT need to amend for:
- Adding/removing members (internal, governed by operating agreement)
- Changing management structure (unless stated in Articles)
- Changing profit allocation or other internal terms (operating agreement)
How to File
Online:
- Go to https://www.businessexpress.ny.gov/
- Log in and select "File an Amendment"
- Enter your LLC's DOS ID
- Specify what is being changed
- Pay $60 fee
- Submit
By mail:
- Form DOS-1369 + $60 to Division of Corporations, 99 Washington Avenue, Albany, NY 12231
